Terms and conditions of purchase - Memoria USB flash drives
The company HB Memoria is also denoted as Memoria or we.
The customer is also denoted as you.
USB-flash drive is also denoted as the good/s.
You must be at least 18 years old to purchase from Memoria. We reserve the right to cancel orders made by people who have declared incorrect personal- and company information and companies that have payment defaults.
Facts and price information are given with reservation for typos, increased supply prices and warehousing, incorrect denoted technical specifications etc and sold out models. An additive shipping cost will be applied for every order, cost depending on weight and shipping method (express or economy).
Price
All prices offered are without VAT (Value Added Tax) and shipping cost.
1. VAT will be invoiced to Swedish companies.
2. VAT is not invoiced to other EU companies as long as they can provide Memoria a valid EU VAT-no
(we apply reverse VAT). If a valid VAT-no cannot be provided then VAT will be invoiced (Swedish VAT 25 %).
3. VAT is not applied to customers outside the EU, i.e when goods actually leave the EU zone.
Price guarantee
As a USB-flash drive supplier to Nordic, European and American companies, Memoria strives to offer the best prices possible without compromising on quality. The price guarantee is valid and applied on all our over 200 different models. Would you as customer find the same USB flash drive supplied by any of our competitors at a lower price, we offer the same product below that offer. The price guarantee embraces only products sold and provided by a domestic (Swedish) producer (supplier), who distinctly publishes his offers on the web or printed material. Simultaneously the offers must be easily accessed. The price guarantee is further only valid for an exactly equal product and quantity, annually priced. The price guarantee is further valid only prior approved offer, implying that the price guarantee must be invoked prior the approved offer. Free sample
Memoria offers those who are interested free dummy samples. This implies that we at Memoria send the USB flash drive/s that you find interesting. We send dummy samples that are in stock and available for immediate shipping. The dummy samples offered are without customized print and without other solutions. Memoria reserves the right to revoke this offer without notice. Read our Free Sample policy.
1. Delivery terms
Delivery time is within 2-4 weeks; from the moment the customer has accepted the product proposal
(quotation and art proof) and also has provided Memoria the appropriate and necessary documentation
and information. Memoria cannot be held responsible for longer delivery time than 4 weeks caused by
unforeseen occurrences such as unrests, war, transport delays, natural disaster, strikes, delayed
inputs, holidays (Memorias but also subcontractors) etc.
In case of delayed delivery Memoria will send an e-mail notice to the customer.
2. Confirmation
Memoria offers an art-proof, as help during customer’s decision making. After the customer’s approval of the art-proof
Memoria will initiate mass-production of the USB-sticks.
In cases where the customer demands an image of the final printed/engraved/stamped version before mass-production is
initiated, Memoria will offer this service. However, the delivery time might then be extended. Minimum ordered
quantity is 50 pcs.
As soon as Memoria receives the purchase order we will send an e-mail confirmation.
3. Credit limit and invoicing
When invoicing and installment the credit limit varies and is calculated before purchase order is completed. The credit limit is set for every purchase order and company.
4. Payment options
Memoria applies payment through invoice.
The payment term for companies in Sweden is 15 days after invoiced date, net payment.
The payment term for companies within the EU is 15 days after invoiced date, net payment.
For companies outside the EU we only accept pre-payment, if nothing else is agreed.
5. Shipping
Shipping cost will be added. The shipping cost (reasonable level) depends on weight and shipping method (express or economy). Our delivery partners are DHL, FedEx and Posten.
6. Defects caused by transportation
6.1 Damage complaint
If the goods have been damaged during transportation Memoria cannot be held liable. If goods are
damaged during transportation, the customer must initially contact the freight company (courier).
Then also contact Memoria customer service within 7 days (info@memoria.se).
We reserve the right to charge the customer for all expenses that are related to parcels that have
not been received and signed by the customer but instead returned back to us. Payment must in that
case be made within 15 days after invoiced date.
6.2 Loss during transport and delivery delays
If goods are lost during transportation Memoria cannot be held liable. Memoria cannot be held responsible for
any losses incurred by delivery delays.
If goods are damaged or lost when customer returns the goods back to Memoria then customer can be held liable.
7. Returns
Memoria does not accept any returns before making a proper product complaint. In case of any product complaint
contact initially Memoria customer service to receive an approval that return can be made.
Memoria funds the transportation cost in case of detected and approved malfunctions and damages on the goods.
8. Not received and signed delivery
Customer that does not receive and sign a delivery, but instead goods are returned back to Memoria, will be
charged a fee. If the USB-sticks are customized (your company profile is somehow identifiable on the USB-stick)
the customer is liable to the whole invoiced amount.
In case that the USB-sticks are not customized and the delivery is not received and signed by the customer,
whereby the goods are returned back to Memoria, customer will be charged a fee of 10 % of the invoiced total
amount + VAT (minimum 75 Euro + VAT) for Memorias expenses.
9. Defective goods
9.1 Defects at delivery
We guarantee that the goods you have ordered are flawless at delivery. In case you would receive a defective or
wrong delivery you should contact Memoria customer service within 7 days. After approval of the complaint by
Memoria customer service you may send back the goods in the shape it was received, accompanied by a damage- or
defect report.
At firsthand the customer will have the defected or wrong delivered goods replaced and also receive compensation
for the transport cost (returned goods).
At second hand customer can receive refunding corresponding to the invoiced value of the goods (defective amount),
however Memoria determines whether this can be invoked. Refunding will be made as soon as Memoria has received and
approved the returned goods. Always state the bank details in case of refunding.
9.2 Defects during warranty period
Memoria guarantees that the ordered goods are free of manufacturing defects during the warranty period, 1 year for USB-sticks. If any manufacturing defect appears, the customer has at firsthand the right to compensation of the defective goods with flawless and correct goods and also compensation for transportation cost of the returned defective goods. At second hand customer can receive refunding corresponding to the invoiced value of the goods (defective amount), however Memoria determines whether this can be invoked.
9.3 Complaints
If the goods are somehow damaged or malfunctioning notice Memoria customer service within 7 days and after
agreement send a product complaint. The product complaint notice should include following information; 1)
order number 2) invoice number 3) the name of the goods you want to return 4) Reason for returning goods
back. Memoria approves the return if the returned goods are in unchanged condition. The goods must be packed
in their original packaging and together with any accessories.
The right to complaints of the received goods ends after 3 years.
10. Information usage
Memoria will not share the received company information, address or e-mail information with other companies. The company information that you send to Memoria will only be used to send information to you related to purchase order processes, questions and any other offers (after information dispatch or approval of the art-proof and quotation the customer also approves future mailings from Memoria). As a customer you have the right to request – That your registered company information is changed – That your registered company information is deleted. In case you need to make any of those changes inform Memoria by e-mail the required changes.
11. Disagreement
In case of disagreement where the parties (Memoria and customer) cannot reach an agreement will be settled in Lund district court (Lunds tingsrätt), Swedish law applied.
